As a private company, the capital that is maintained by the principle of the lender is utilized for the operations of the programs Company’s and securities lending proceeds.
Program Ownership and Safekeeping of the Securities As a part of the programs securities lending process, the program takes ownership of the collateral and as such has the authority to transact with the securities. As such, we maintain safekeeping accounts in the name of the programs Company. As the securities are held solely for the benefit of the program during the term of the transaction, the securities are held in omnibus accounts as it is unnecessary based upon the business model to maintain the transactional accounts.
Program Transactional Process
As a private lender, we handle our own underwriting to totally control the transactional process. This gives us the freedom to make the process personalized to meet client needs. This also allows us to fully understand the risks of the transaction and helps us to know our customer and to execute our Customer Due Diligence Procedures consistent with Bank Secrecy Act/Anti-Money Laundering regulations in order to minimize the risk of doing business with high-risk customers.
The five stages to making a securities loan is as follows:
- The client contacts us with complete details about the proposed collateral and the amount of funding request.
- The client then is required to provide proof of ownership of his securities, bonds, or options with either electronic or physical certificate documents. The client must also be able to demonstrate that any security is free trading and without restriction. Restricted securities can be reviewed on a case-by-case basis.
- We will then determine the viability of the request and calculate a loan-to-value (LTV) ratio and the fixed interest rate, based on an assessment of both short and long-term risks.
- The client and program agree to terms, execute contracts, arrange for the assets to be transferred, and revenue against collateral begins, within days.
- At the end of the transactional term, the customer repays the principal to program. program then returns the same amount of identical collateral to you.
This allows the Company to monitor all activity within the accounts. As the volume is currently manageable, monitoring is completed through manual processes. Transactions are typically made for a period of 8 weeks to 36 months.
The Company works with investments banks for the safekeeping of registered securities and facilitation of trading and execution of transactions on behalf of the company and our clients.

All our program partners are committed to compliance with all applicable laws and regulations. Laws and regulations that our program is particularly sensitive to include securities regulations, privacy regulations and Bank Secrecy Act/ Anti-Money Laundering related regulations, including the USA PATRIOT Act and those regulations promulgated by the U.S. Treasury Department’s Office of Foreign Assets Control. We have developed processes and conduct periodic training in order to adhere to such laws and regulations. All employees are held to strict compliance and are overseen by executive management.
Due Diligence Firms
In addition to the established Due Diligence Procedures that are in place and executed by program employees, the Company has determined it to be prudent in certain circumstances to engage third parties to conduct list searching and investigations of potential clients and documentation. The Company contracts with a widely utilized online tool that allows the Company to search individuals and entities against government lists as well as known occurrences of fraud, corruption, terrorism, money laundering, narcotics trafficking and many other types of financial crime for all transactions.
Another third party that is utilized is an investigative firm that gathers business information from all over the world for corporations, law firms, financial institutions and non-profits. This firm is engaged in transactions in which the Company in unable to determine if the information and entities involved are legitimate.
